1. Who we are
LyncMail ("LyncMail", "we", "us") is an email marketing service based in Ontario, Canada. These Terms of Service ("Terms") are an agreement between us and the business or person who creates a LyncMail account ("you"). By ticking the box at sign-up or by using LyncMail, you agree to these Terms and to our Privacy Policy. If you sign up for a business, you confirm you are allowed to bind that business to these Terms.
2. Your account
- You must be at least 18 years old and give accurate information, including a real business name and mailing address.
- You are responsible for everything done under your account, including by people you invite. Keep your password private and tell us right away if you think someone else has accessed your account.
- Your account name (for example yourbusiness.lyncmail.com) must not impersonate another business or person or infringe anyone's trademark. We may change or reclaim an account name that does.
3. Free plan and trials
- Free plan. The Free plan costs nothing and has no end date. It includes a monthly email allowance and a limit on how many different people you can email each month, as shown on our pricing page. Unused emails don't carry over. Emails sent on the Free plan include a small "Sent with LyncMail" badge with a link to our website; you agree not to remove or hide it.
- Trials of paid plans. A paid plan can start with a 14-day free trial. No card is needed to start, and sending during the trial may be limited (for example, to 1,000 emails). If you don't add a payment method before the trial ends, your account moves to the Free plan. Your contacts, designs and reports stay in your account.
- We may change the Free plan's limits with 30 days' notice, or refuse or end a free account or trial if we see abuse, such as spam, repeated accounts or attempts to get around the limits.
4. Plans, billing and taxes
- Prices are listed on our website in Canadian dollars (CAD). Applicable sales taxes (such as HST/GST/PST) are added at checkout.
- Paid plans can be billed monthly or yearly. They renew automatically at the end of each month or year and are charged to your payment method on file through our payment processor, Stripe, until you cancel.
- Yearly plans are paid once a year, in advance. The monthly email and people limits still apply each month and refill every month; a year's emails can't be used all at once. We will email you before a yearly plan renews.
- Each plan includes a monthly email allowance and a number of different people you can email each month, counted by email address (removing and re-adding contacts doesn't reset it). Unused emails don't carry over. If you reach a limit, sending stops until your next plan month or until you upgrade.
- If you upgrade, or switch from monthly to yearly, the new price applies right away and any unused time on your current plan is credited. If you downgrade, the change takes effect at your next billing date.
- We may change our prices. We will give you at least 30 days' notice by email before a price increase affects your plan. If you don't agree, you can cancel before it takes effect.
- If a payment fails, we will try again and let you know. If it still can't be collected, we may pause sending until it's resolved.
5. Cancelling and refunds
You can cancel at any time from Plan & billing in your account. Cancelling stops future charges. You keep your paid plan until the end of the period you've already paid for (the month, or the year for yearly plans), and then your account moves to the Free plan. To close your account completely, email us. Fees already paid are not refundable, including for partial months, the unused part of a yearly plan, or unused emails, except where the law requires a refund or where we decide to give one. After your account closes, we keep your data for 30 days so you can come back or ask for an export, and then delete it as described in our Privacy Policy.
6. Anti-spam rules (CASL)
Canada's Anti-Spam Legislation (CASL) and similar laws elsewhere (such as the U.S. CAN-SPAM Act) apply to the emails you send. You are the sender, and you are responsible for following them. In particular, you agree that:
- You only email people who have given you consent (express, or implied as CASL allows, for example an existing business relationship within its time limits), and you can show that consent if asked.
- You will not upload or email purchased, rented, borrowed, scraped or harvested lists, or addresses you collected for an unrelated purpose.
- Every email clearly identifies your business and includes your valid mailing address and a working unsubscribe link. LyncMail adds these for you; you must not remove or hide them.
- You honour unsubscribe requests. LyncMail does this automatically, and you will not re-add people who have unsubscribed unless they opt in again.
- Your subject lines and sender names are not misleading.
7. Acceptable use
You may not use LyncMail to send, store or link to content that:
- is illegal, fraudulent, deceptive or phishing, or that impersonates someone else;
- contains malware, or links to sites that try to harm people's devices;
- promotes illegal goods or services, or is hateful, harassing, threatening or sexually explicit;
- infringes someone else's copyright, trademark, privacy or other rights;
- falls into categories that email providers treat as high-risk, such as get-rich-quick schemes, pyramid or multi-level marketing, payday loans, debt relief, or unlicensed pharmaceuticals, unless we have agreed in writing.
You also may not try to get around sending limits, open several accounts to avoid a suspension, probe or attack our systems, or resell LyncMail without our written permission.
8. Your content and data
- You own your contact lists, emails, images and other content ("Your Content"). You give us permission to store, process and send Your Content only as needed to provide LyncMail to you.
- You confirm you have the right to use Your Content, including the personal information of your contacts, and that you collected it lawfully.
- For your contacts' personal information, you decide what is collected and why, and we handle it on your behalf. Our Privacy Policy explains how.
- We don't sell your contacts, and we don't email them for our own purposes.
- We may use anonymous, combined statistics (for example, average open rates across all customers) to run and improve the service.
9. Sending limits and deliverability
To protect everyone's ability to reach inboxes, we watch bounce, complaint and unsubscribe rates. If your rates are much higher than normal (for example, a spam complaint rate at or above 0.08% or a bounce rate at or above 4% over 30 days, which are our email provider's limits), we may pause or hold your sending automatically, ask how your list was collected, or ask you to clean your list before sending again. We can't promise that any particular email will reach the inbox, because the receiving providers decide that.
10. Suspension and termination
We may suspend or close your account, with or without notice, if you break these Terms, if your sending harms our service or other customers, if you don't pay, or if the law requires it. Where it's reasonable, we will tell you why and give you a chance to fix the problem first. You can close your account at any time. Sections 8 and 12 to 16 continue to apply after your account closes.
11. Availability and changes to the service
We work to keep LyncMail running and secure, but it may sometimes be unavailable, for example during maintenance or because of problems with our hosting, email or payment providers. We may add, change or remove features. If we remove a major feature you are paying for, we will tell you in advance.
12. Disclaimers
LyncMail is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties not written in these Terms, including warranties of merchantability, fitness for a particular purpose and non-infringement. Features that suggest content (such as AI writing help) can make mistakes. Review anything before you send it.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to LyncMail is limited to the amount you paid us in the 12 months before the claim arose, or CAD $100 if that is more. Nothing in these Terms limits liability that can't be limited by law.
14. Indemnity
You agree to cover our reasonable costs, including legal fees, if a third party makes a claim against us because of Your Content, the emails you send, or your breach of these Terms or the law (including CASL).
15. Changes to these terms
We may update these Terms. If a change is significant, we will email you or show a notice in your account at least 30 days before it takes effect. If you keep using LyncMail after that, you accept the new Terms. If you don't agree, you can cancel before the change takes effect.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and we agree to the courts of Ontario for any dispute, unless the law where you live gives you a different right.
